Terms of Service

These Terms are a binding agreement between you and StackResolve. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy about how we handle your personal data, the Privacy Policy controls for that topic.

Some features may have additional guidelines, plan terms, or documentation posted in the Service. Those are part of these Terms when you use those features.

You must be at least 18 years old to use the Service. If you use the Service for an organization, you promise that you are authorized to accept these Terms for that organization, and you in these Terms means both you and that organization.

StackResolve is software intelligence and resolution for AI agents. Through our API, hosted MCP servers, and command-line tools, the Service helps agents and developers:

• Discover, evaluate, and compare software using the AgentReady Score and the software registry.
• Research companies through structured CompanyData endpoints such as get_company, get_pricing, find_competitors, compare_companies, and research_company.
• Generate and host agent interfaces, including MCP servers, for a vendor's API.

Scores, profiles, research answers, and other outputs are derived from public signals and automated analysis. We provide them for your evaluation and do not warrant that any output is complete, current, or free of error. You are responsible for how you use the outputs.

Creating an account

Some features require an account. You can register with an email and password, or sign in with GitHub or Google through our authentication provider. You agree to provide accurate information and keep it current. You may delete your account at any time by contacting us or using the controls in the Service.

Account and API key security

You are responsible for keeping your login credentials and API keys confidential, and for all activity that happens under your account or keys. Do not share your keys. If you believe your account or a key has been used without your authorization, notify us promptly at support@stackresolve.dev. We are not liable for losses that result from your failure to keep your credentials secure.

When you use the Service, you agree that you will not:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Abuse the free tier or rate limits, including creating multiple accounts, using automated means, or taking other steps to exceed or evade usage quotas and rate limits.
• Resell, redistribute, or sublicense raw responses from the Service as a standalone dataset or as a competing data feed.
• Use the API to access, scrape, or interact with a third party in a way that violates that third party's terms of service or rights.
• Reverse engineer, decompile, or attempt to derive the source code of the Service, or use the Service to build a competing product.
• Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to any system or data.
• Upload or transmit malware, or use the Service to send unsolicited messages or to infringe the intellectual property or privacy rights of others.

We may investigate suspected abuse and may suspend or limit access, throttle usage, or terminate accounts that we reasonably believe violate this section. Where practical we will try to give notice, but we may act immediately to protect the Service or other users.

StackResolve offers a free tier and metered, pay-as-you-go usage. Current plans, quotas, and per-call rates are described on our pricing page and in the Service. We may change prices and quotas on a going-forward basis with notice through the Service or by email.

Paid usage is billed through our third-party payment processor. When you enter payment details, they are collected and processed by that payment processor. We do not store your full card numbers. You authorize us and our payment processor to charge your selected payment method for the fees you incur, plus any applicable taxes. Fees are non-refundable except where required by law or as expressly stated in a plan.

You can set spend limits and caps where the Service makes them available. You are responsible for usage under your account, including usage by your API keys and applications.

You keep all rights in the data, prompts, and content you submit to the Service (your content). You grant us a limited, worldwide, royalty-free license to host, process, and transmit your content only as needed to operate and provide the Service to you, to keep it secure, and to comply with law. Our handling of personal data is described in the Privacy Policy.

You are responsible for your content and for making sure you have the rights needed to submit it and to let us process it as described in these Terms.

The Service, including its software, the AgentReady Score methodology, the registry, documentation, and all related intellectual property, belongs to StackResolve or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its outputs for your internal business and development purposes, consistent with the acceptable use section above.

These Terms do not transfer any ownership rights to you except for the limited license stated here. All rights not expressly granted are reserved. You must keep any proprietary notices intact on materials you are permitted to copy.

The Service relies on and may link to services operated by third parties, such as our authentication, hosting, and payment providers, and the GitHub and Google sign-in options. We do not control these services and are not responsible for them. Your use of a third-party service is governed by that party's own terms and privacy practices. The subprocessors we use to run the Service are listed in the Privacy Policy.

If you send us feedback or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you. Please do not send feedback you consider confidential.

THE SERVICE AND ALL OUTPUTS ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, STACKRESOLVE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any score, profile, or research output is accurate, complete, or current. You use the outputs at your own risk and are responsible for verifying them before relying on them.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKRESOLVE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS AND (B) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE SIX MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless StackResolve and its officers, employees, and agents from any claims, damages, and reasonable costs and legal fees that arise out of your use of the Service, your content, your violation of these Terms, or your violation of any applicable law or the rights of a third party. We may take control of the defense of any such claim at your expense, and you agree to cooperate.

These Terms stay in effect while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access, including deleting your account or revoking API keys, if we reasonably believe you have violated these Terms, to protect the Service or other users, or as required by law.

On termination, your right to use the Service ends. Sections that by their nature should survive, including the intellectual property, disclaimer, limitation of liability, indemnification, governing law, and general terms sections, will survive.

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms. If we make material changes, we will give notice by email or through the Service. Your continued use after the changes take effect means you accept the updated Terms. If you do not agree, stop using the Service.

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of [State/Country], without regard to its conflict-of-law rules. Subject to any dispute-resolution terms below, you and StackResolve consent to the exclusive jurisdiction of the courts located in [State/Country] for any dispute not resolved otherwise.

Note for the owner: the template this document is based on offers a binding individual arbitration clause with a class-action waiver and a 30-day opt-out. Whether to include arbitration, and which administrator and rules to use, is a decision to finalize with counsel. Depending on where you live, you may have additional rights under state consumer and privacy laws, including in California, Colorado, Connecticut, Virginia, and other states with comprehensive privacy laws. These Terms, together with the Privacy Policy and any plan terms, are the entire agreement between you and StackResolve about the Service. If any part is found unenforceable, it will be limited to the minimum extent necessary and the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. The word including means including without limitation. By using the Service, you consent to receive notices from us electronically.
